Association
ARTICLE I
Section 1. The name of this
Association shall be the Sulphur Springs Cemetery Preservation
Association.
ARTICLE II
The object of this Association shall
be to help improve and beautify and maintain the Sulphur
Springs Cemetery at Sulphur
Springs, Yell County, Arkansas and to this end shall have the right to
raise funds for this work.
ARTICLE III - Board of Directors
Section 1. The officers shall consist
of a President; a Vice-President; a Secretary, who may also serve as the
Treasurer; and two (2) Directors. They shall be elected annually by a
majority vote of the interested persons present at the Annual Meeting of
the Association.
Section 2. It shall be the duty of
the President to preside at all regular and special meetings of the
Association and call special meetings whenever thought necessary - and
shall be Chairman of the Board of Directors and may attend committee
meetings when advisable and shall discharge all such duties as usually
pertains to the office of president.
Section 3. The Vice-President shall
assist the President in the discharge of his or her duties and in his or
her absence, the next in rank shall assume such duties.
Section 4. The Recording
Secretary/Treasurer shall keep a minute book in which shall be entered
accurate accounts of the proceedings of all meetings of the Association
and Board of Directors. The corresponding Secretary/Treasurer shall
conduct any correspondence under the direction of the Association or
Board of Directors. The Secretary/Treasurer shall receive and safely
keep all monies belonging to the Association and receipt for same and
pay it out by order of the Board of Directors.
Section 5. The officers of this
association shall constitute the Board of Directors who shall be
authorized to make all contracts for work and pay for same by order of
the President and the Secretary.
ARTICLE IV - Meetings
Section 1. The Annual Meeting of the
Association shall be held on the third Saturday in the month of October
each year, and at a place to be determined by the President and Board of
Directors. Fourteen (14) days notice by mail shall be given to each
recorded interested person stating the time and place of such meeting
and published in the local newspaper.
Section 2. Special Meetings may be
called by the President, upon request of five (5) or more members, on at
least seven (7) days notice.
ARTICLE V - Amendments
Section 1. These By-Laws may be
amended or revised at any ANNUAL MEETING or SPECIAL MEETING of the
Association by a majority vote of the members present, provided the
notice of the meeting specifies the proposed amendment to the
Constitution and By-Laws are listed on the agenda of the meeting.
